TERMS OF USE & EVENT ATTENDANCE TERMS

1. INTRODUCTION
These Terms of Use and Event Attendance Terms (“Terms”) apply to websites, online platforms, memberships, ticket sales, events, tours, retreats, experiences and other products or services operated by Cedilia Holding Company trading as Celestial Events and associated Celestial brands (“Celestial”, “Company”, “we”, “us” or “our”).
These Terms apply to websites operated by or on behalf of Celestial Events, including celestialevents.com.au, starfallball.com and any other website or platform that links to these Terms (“Sites”).
These Terms also apply, where relevant, to attendance at any ball, festival, soirée, tour, retreat, workshop, book event, launch party, merchandise event, online event, membership event or other experience produced, promoted or operated by Celestial (“Event”).
Additional ticketing, event, membership, tour, competition or promotional terms may apply to particular products or Events. Where additional terms apply, they form part of your agreement with us.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable legislation.
2. ACCEPTANCE OF THESE TERMS
By accessing a Site, creating an account, purchasing a ticket, purchasing a product or service, joining a membership, registering for an Event or attending an Event, you agree to these Terms to the extent applicable to that activity.
If you purchase tickets or make bookings on behalf of another person, you must make reasonable efforts to ensure that person is aware of the applicable Event terms.
Where an attendee is under 18, their parent or legal guardian is responsible for ensuring compliance with these Terms and any age requirements applicable to the Event.
We may update these Terms from time to time. Changes will apply prospectively from the date the updated Terms are published, except where a change is required by law or is otherwise permitted by law.
Material changes affecting an existing booking will not remove rights that you have under applicable consumer law.
3. PRIVACY AND PERSONAL INFORMATION
We collect, hold, use and disclose personal information in accordance with our Privacy Policy and applicable Australian privacy laws.

Personal information may include information supplied when you:

purchase tickets or merchandise;

register for an Event;
-
become a member;
-
enter a competition;
-
complete a survey or form;
-
communicate with us;
-
attend an Event;
-
participate in photographs, video or other recordings;
-
interact with our websites, social media or digital services; or
-
otherwise engage with Celestial.

We may use personal information where reasonably necessary for purposes including:

processing transactions and bookings;
-
delivering Events, memberships, tours and services;
-
administering accounts;
-
communicating important Event or booking information;
-
customer support;
-
fraud prevention and security;
-
accessibility and operational requirements;
-
conducting competitions and promotions;
-
improving our products, services and Events;
-
analytics and business administration;
-
complying with legal obligations; and
-
other purposes described in our Privacy Policy.
Where required by law, we will obtain consent before collecting or using sensitive information.
4. MARKETING COMMUNICATIONS
Where you have consented, or where otherwise permitted by applicable law, Celestial may use your email address, telephone number and other contact details to communicate with you about Celestial Events, tickets, presales, memberships, merchandise, tours, retreats, competitions, publishing projects, partner offers and other Celestial products, services and activities.
Consent to receive marketing communications is not a condition of purchasing a ticket or product unless expressly stated and legally permitted.
You may withdraw your consent to electronic marketing at any time by using the unsubscribe facility contained in the communication or by contacting us.
Withdrawing marketing consent does not prevent us from sending non-marketing communications reasonably necessary to administer an existing booking, purchase, membership or Event.
We may maintain records of marketing consent and withdrawal of consent as required for compliance purposes.
5. EVENT PHOTOGRAPHY, FILMING AND RECORDING
5.1 Events may be photographed and recorded
Celestial Events are public or semi-public entertainment experiences and may be professionally photographed, filmed, livestreamed or otherwise recorded.
By entering an Event, you acknowledge that photography, videography and audio recording may occur throughout the Event.
To the extent permitted by law, you consent to Celestial and its authorised photographers, videographers, contractors, media partners and representatives photographing, filming and recording your appearance, likeness and voice while you are participating in or attending an Event.
5.2 Celestial's use of Event imagery
Subject to applicable law, Celestial may use Event photographs, video and audio recordings in which attendees appear for legitimate Celestial business, promotional, editorial and historical purposes, including:

Celestial websites;
-
social media;
-
advertisements;
-
promotional videos;
-
digital and print advertising;
-
email marketing;
-
magazines and publications;
-
Event recaps;
-
media and public relations;
-
future Event promotion;
-
sponsor or venue reporting;
-
presentations;
-
archival material; and
-
other Celestial marketing and communications.
Such material may be published in Australia or internationally and may remain publicly available after the Event has concluded.
Where permitted by law, no additional payment, royalty or compensation is payable merely because an attendee appears incidentally or as part of an Event photograph or recording.
Nothing in this clause permits Celestial to use an attendee's image in a way that is unlawful, misleading or defamatory.
5.3 Featured shoots and individual commercial endorsements
Where Celestial proposes to use an identifiable attendee as the principal subject of a separate commercial campaign, testimonial or endorsement rather than as part of ordinary Event coverage, Celestial may seek additional permission where appropriate or required by law.
5.4 Children
Parents and guardians should be aware that photography and filming may occur at Events attended by children.
Where additional consent is legally required for particular photography, filming or use involving a minor, Celestial will seek that consent from the appropriate parent or guardian.
6. ATTENDEE PHOTOGRAPHY, VIDEO AND PERSONAL RECORDINGS
Celestial welcomes attendees taking reasonable photographs and short-form video recordings for genuine personal use, subject to any restrictions announced for a particular Event, venue, performer, author or activity.
Your permission to make personal recordings at an Event does not give you permission to commercially exploit Celestial's Event, production, intellectual property or other attendees.
6.1 Personal use
Attendees may generally post personal photographs and videos to their own personal social media accounts for the purpose of sharing their personal experience of the Event.
Examples include posting photographs of your outfit, photographs with friends, short videos of your experience, personal TikToks, Instagram stories, reels and personal Event recaps.
This permission is personal, limited, revocable and non-transferable.
6.2 Commercial and organisational use prohibited
Unless Celestial provides prior written permission, photographs, video, audio or other material captured at a Celestial Event (“Attendee Event Content”) must not be used for a Commercial or Organisational Purpose.

For these Terms, a “Commercial or Organisational Purpose” includes use by or for:

a business;
-
event organiser;
-
book club;
-
fan club;
-
community group;
-
association;
-
creator or influencer account operated commercially;
-
commercial social media page;
-
publisher;
-
retailer;
-
merchandise business;
-
venue;
-
sponsor;
-
promoter;
-
competing Event;
-
paid membership;
-
subscription service; or
-
any other organisation, project or enterprise.
An activity does not need to charge money or make a profit to constitute a Commercial or Organisational Purpose.

Accordingly, Attendee Event Content must not be used without written permission to promote, advertise, establish or grow:
-
another event;
-
a free event;
-
a fan club;
-
a book club;
-
a social community;
-
an online group;
-
a membership community;
-
another business or brand;
-
an organisation;
-
a mailing list;
-
a commercial social media account;
-
a competing fantasy or bookish community; or
-
any activity intended to obtain commercial, promotional, organisational or audience-building benefit.
The fact that an Event, fan club, book club, community or service is free of charge does not make its use of Celestial Event Content “personal use”.
6.3 Prohibited exploitation of Event Content

Without prior written permission from Celestial, you must not:
-
use Event footage to advertise or promote another event, business, organisation or community;
-
use Celestial Event footage as promotional background material for another organisation;
-
incorporate Event footage into paid advertisements or sponsored content;
-
sell, license or commercially distribute Event photographs or footage;
-
supply Event footage to another organisation for promotional use;
-
represent Celestial Event footage as footage of another event;
-
use Event footage to imply an association, endorsement, partnership or affiliation with Celestial;
-
reproduce substantial elements of Celestial's staging, performances, quests, activities, choreography, scripts or other original Event material for commercial or organisational purposes;
-
livestream substantial portions of an Event without permission;
-
commercially exploit recordings of performances or presentations;
-
use Event recordings to create or promote a competing event or experience; or
-
remove or obscure Celestial branding from content for the purpose of republishing that content commercially.
6.4 Media, creators and professional photography
Professional photography, professional videography, media coverage, influencer collaborations, commercial content creation and photography or videography undertaken principally for an organisation or business require prior written approval from Celestial.
Possession of a ticket does not constitute media accreditation or commercial filming permission.
Celestial may impose reasonable restrictions on photographic or recording equipment at particular Events.
6.5 Other attendees
Permission to attend a Celestial Event does not override the privacy, copyright or other rights of another attendee.
You are responsible for ensuring that your recording and use of material does not unlawfully interfere with another person's rights.
Celestial may direct an attendee to cease recording where recording is disruptive, intrusive, unsafe or inconsistent with Event or venue requirements.
6.6 Enforcement
If Celestial reasonably believes Event Content is being used contrary to these Terms, we may request that the content be removed, cease-and-desist from further use, make a platform intellectual-property or other appropriate complaint where legally available, and pursue any rights or remedies available to us under law.
7. INTELLECTUAL PROPERTY

Unless otherwise stated, Celestial or its licensors own or control the intellectual property in Celestial-created material, including relevant:

trademarks;
-
logos;
-
Event names;
-
original graphics;
-
Event branding;
-
website material;
-
photographs and videos commissioned by Celestial;
-
publications;
-
written material;
-
Event concepts and original creative expression;
-
scripts;
-
quests;
-
worksheets;
-
activity materials;
-
merchandise artwork; and
-
other copyright works.
Third-party intellectual property remains the property of its respective owners.
Nothing in these Terms transfers ownership of third-party intellectual property to Celestial.
Celestial Events may operate fan-oriented events inspired by books, genres or fictional worlds. Unless expressly stated, reference to third-party intellectual property does not represent ownership of that intellectual property or imply endorsement by its owner.
Celestial's registered and unregistered trademarks must not be used in a manner that suggests an Event, business, group, product or service is organised, endorsed, licensed or affiliated with Celestial unless written permission has been provided.
8. ARTIFICIAL INTELLIGENCE, AUTOMATED SYSTEMS AND DATA SCRAPING
8.1 No AI training or machine-learning exploitation of Celestial Content
Except where expressly authorised in writing or permitted by law, you must not use Celestial Content, Event Content or material obtained through Celestial's Sites, social platforms, memberships or Events:

to train, fine-tune, validate or develop an artificial intelligence or machine-learning model;
-
as part of an AI training dataset;
-
for retrieval-augmented generation databases intended for commercial or organisational exploitation;
-
for automated content generation;
-
for image-generation model training;
-
for voice cloning;
-
for facial-recognition databases;
-
to create digital replicas of Celestial representatives, performers or attendees;
-
to create synthetic Event footage purporting to depict a Celestial Event;
-
for automated scraping or data harvesting;
-
to develop competing datasets, directories, products or services; or
-
for other machine-learning or automated commercial exploitation.
No licence to undertake those activities is granted merely because Celestial Content is publicly accessible online.
8.2 Automated access
Unless authorised by Celestial or reasonably necessary for ordinary search-engine indexing, you must not use bots, crawlers, scrapers, spiders, automated agents or similar technologies to systematically collect, reproduce, extract or analyse Celestial Content.
Celestial reserves the right to use reasonable technical measures to prevent unauthorised automated access.
8.3 AI-generated impersonation and deceptive content
You must not use AI or synthetic-media technologies to:
impersonate Celestial Events;
impersonate Celestial staff, performers, guests or representatives;
falsely represent an affiliation with Celestial;
create misleading advertisements purporting to originate from Celestial;
fabricate endorsements;
clone voices or likenesses without appropriate authority; or
generate deceptive content reasonably likely to cause people to believe it is genuine Celestial material.
8.4 Celestial's use of AI
Celestial may use artificial intelligence and automated technologies as business tools for purposes such as drafting, administration, design ideation, customer-service support, analytics, accessibility, workflow automation and content production.
Where personal information is processed using AI or automated technologies, Celestial will do so subject to applicable privacy laws and its Privacy Policy.
Celestial will not intentionally use sensitive personal information for AI training or other high-risk AI purposes without an appropriate lawful basis and, where required, consent.
9. TICKETS AND EVENT ENTRY
A ticket grants the ticket holder a revocable licence to enter and attend the Event specified on the ticket, subject to these Terms, applicable ticketing terms, venue requirements and reasonable directions of Celestial staff.
Tickets must not be resold commercially or for an amount exceeding any limit imposed by applicable law.
Where Celestial appoints an authorised resale platform, attendees should use that platform when reselling eligible tickets.
We may refuse admission or require an attendee to leave where reasonably necessary for safety, security, serious misconduct, material breach of these Terms, venue requirements or applicable law.
Any exercise of this right will be subject to applicable consumer law.
10. EVENT SAFETY AND CONDUCT
Attendees must comply with reasonable Event safety requirements communicated before or during an Event.

Celestial may impose requirements relating to:

weapons and replica weapons;
-
props;
-
wings;
-
costume dimensions;
-
hoop skirts;
-
trains;
-
bags;
-
prohibited substances;
-
dangerous items;
-
accessibility and emergency routes;
-
photography or filming;
-
security screening; and
-
venue requirements.
An item that Celestial or venue security reasonably considers unsafe may be refused entry.
Attendees must behave respectfully towards staff, contractors, performers, vendors and other attendees.
Harassment, threats, violence, discriminatory abuse, deliberate intimidation, dangerous behaviour or serious disruption may result in removal from an Event.
11. EVENT CHANGES
Events involve venues, performers, suppliers and circumstances that may be outside Celestial's reasonable control.
Where reasonably necessary, Celestial may make changes to schedules, activities, performers, speakers, suppliers, venues, running orders or other operational aspects of an Event.
Where a material change, postponement or cancellation occurs, Celestial will comply with its obligations under the Australian Consumer Law and any other applicable law.
Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded.
12. REFUNDS AND CONSUMER GUARANTEES
Ticket purchases and bookings are subject to the refund conditions disclosed at the time of purchase.
A statement that tickets are “non-refundable” does not exclude rights that an attendee may have under the Australian Consumer Law.
Our goods and services come with consumer guarantees that cannot be excluded under the Australian Consumer Law.
Nothing in these Terms limits any statutory right to a refund, replacement, re-supply, compensation or other remedy where that right applies.
13. ORDERS AND PAYMENTS
Prices are displayed in Australian dollars or another currency expressly identified at checkout and include GST where applicable unless otherwise stated.
Orders are subject to acceptance by Celestial.
Payments may be processed by third-party payment providers. Your use of those services may also be subject to the provider's terms and privacy policies.
We may reasonably cancel or refuse an order where:
payment has not been received;
the transaction appears fraudulent;
a genuine pricing or technical error has occurred;
supply is unavailable;
purchase limits have been exceeded; or
accepting the order would breach applicable law.
Any refund required following cancellation will be processed in accordance with applicable law.
14. ACCOUNTS AND MEMBERSHIPS
Where a Site permits account registration, you are responsible for maintaining the security of your login credentials and for activity undertaken through your account.
You must provide accurate information and must not impersonate another person.
Membership benefits, prices, renewal arrangements and cancellation conditions will be disclosed in the applicable membership terms.
We may suspend or terminate an account or membership for a material breach of applicable terms, serious misconduct, fraud or misuse, subject to applicable consumer law.
15. USER-SUBMITTED CONTENT
Where you voluntarily submit photographs, videos, testimonials, reviews, comments, competition entries or other content to Celestial for publication (“Submitted Content”), you retain any copyright you own in that content.
You grant Celestial a non-exclusive, worldwide, royalty-free licence to reproduce, publish, communicate, adapt and display the Submitted Content for purposes reasonably connected with Celestial's business, promotion and activities.
You warrant that you have the rights necessary to provide Submitted Content and that our authorised use will not knowingly infringe another person's rights.
This clause does not require Celestial to publish Submitted Content.
16. THIRD-PARTY SERVICES
Celestial may link to or work with third-party venues, ticketing platforms, accommodation providers, retailers, payment processors, transport providers and other suppliers.
Unless expressly stated otherwise, third-party products and services are subject to the third party's own terms.
Nothing in these Terms excludes any responsibility that Celestial has under applicable law for services supplied by or on behalf of Celestial.
17. LIABILITY
Nothing in these Terms excludes, restricts or modifies any guarantee, condition, warranty, right or remedy that cannot lawfully be excluded, restricted or modified.
To the maximum extent permitted by law, Celestial is not responsible for loss arising solely from:
circumstances outside its reasonable control;
an attendee's failure to comply with reasonable safety instructions;
unauthorised third-party conduct;
loss or theft of unattended personal property; or
third-party services for which Celestial is not legally responsible.
Where Celestial's liability can lawfully be limited, it is limited to the extent permitted by applicable law.
Nothing in these Terms is intended to exclude liability where doing so would be unlawful.
18. FORCE MAJEURE
Celestial will not be liable for delay or failure to perform an obligation to the extent caused by circumstances genuinely outside its reasonable control, including natural disasters, severe weather, fire, flood, epidemic or pandemic restrictions, government action, civil disturbance, transport disruption, venue closure or other comparable events.
Where such circumstances materially affect a consumer service, Celestial will nevertheless comply with any rights and remedies required by applicable consumer law.
19. PROHIBITED CONDUCT
You must not:
interfere with the operation or security of Celestial's Sites;
attempt unauthorised access to accounts, systems or data;
distribute malware or malicious code;
scrape or systematically harvest Celestial Content contrary to these Terms;
use Celestial Content for unauthorised AI training or machine-learning purposes;
infringe Celestial's or another person's intellectual-property rights;
falsely represent an association with Celestial;
use Celestial trademarks to advertise an unauthorised event, business, product or service;
use Event footage for a Commercial or Organisational Purpose contrary to clause 6;
impersonate Celestial, its staff or representatives;
use Celestial platforms to harass, threaten or abuse another person;
engage in fraudulent, unlawful, misleading or deceptive conduct; or
knowingly circumvent reasonable technological measures used to protect Celestial Content.
20. ENFORCEMENT OF INTELLECTUAL PROPERTY AND EVENT CONTENT RIGHTS
Celestial reserves all rights available under applicable law in relation to unauthorised use of its intellectual property or Event Content.
Depending upon the circumstances, Celestial may:
contact the person responsible;
request correction or removal;
issue a cease-and-desist notice;
submit an intellectual-property, impersonation or other appropriate complaint to a social-media platform, hosting provider or search provider;
seek an injunction;
seek damages, an account of profits or other relief where legally available; or
refer the matter to legal representatives.
Nothing in these Terms represents that any particular remedy will necessarily be available in every circumstance.
221. TRADE MARKS
Celestial Events and Celestial-owned registered or unregistered trademarks, logos and branding may not be used in a manner likely to indicate sponsorship, endorsement, affiliation or origin without permission.
Nothing in these Terms grants a licence to use a Celestial trademark except to the limited extent necessarily involved in making a genuine personal reference to attendance at a Celestial Event or otherwise permitted by law.
Third-party trademarks referred to by Celestial remain the property of their respective owners.
22. DISPUTE RESOLUTION
If a dispute arises, both parties should first attempt in good faith to resolve the matter directly.
A written dispute notice should provide sufficient information to identify the issue and the outcome sought.
Nothing in this clause prevents either party from:
exercising rights under the Australian Consumer Law;
making a complaint to a regulator or consumer-protection body;
commencing proceedings where legally entitled to do so; or
seeking urgent interlocutory or injunctive relief.
Where appropriate and agreed between the parties, unresolved disputes may be referred to mediation.
23. GOVERNING LAW
These Terms are governed by the laws of Queensland, Australia.
Subject to any rights that cannot lawfully be restricted, disputes concerning these Terms may be dealt with by courts and tribunals having jurisdiction under applicable Australian law.
24. ASSIGNMENT AND BUSINESS TRANSFERS
Celestial may restructure, sell or transfer all or part of its business.
Where personal information is involved in a business transfer, merger, acquisition or restructuring, it will be handled in accordance with applicable privacy law and our Privacy Policy.
We will not purport to transfer personal information in a manner inconsistent with applicable privacy obligations.
25. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be severed or read down to the extent necessary and the remaining provisions will continue to operate.
26. NO WAIVER
A failure by Celestial to enforce a provision on one occasion does not constitute a waiver of its right to enforce that provision on another occasion.
27. CHANGES TO THESE TERMS
We may update these Terms to reflect changes to our business, technology, Events or applicable law.
The current version and its effective date will be published on our website.
Where a proposed change would materially affect an existing purchase or booking, the change will apply only to the extent permitted by law.
